Terms & Conditions - the basics

Welcome to MyRoasUp! These Terms and Conditions ("Terms" or "T&C") govern your use of the website https://www.myroasup.com/   (the "Site") and the digital marketing consulting services provided by MyRoasUp ("we," "us," or "our"), a firm founded by Supantha.

By accessing or using our Site and engaging with our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Site or services.

 

1. Acceptance of Terms

The specific scope of services for each client will be outlined in a separate Service Agreement, Proposal, or Statement of Work ("SOW"), which will form an integral part of the agreement between MyRoasUp and the client. In case of any conflict between these Terms and a specific SOW, the SOW shall prevail for the scope of services outlined therein.

 

3. Client Obligations

 

As a client engaging MyRoasUp's services, you agree to:

  • Provide accurate, complete, and timely information and materials as reasonably requested by MyRoasUp to facilitate the provision of services.

  • Cooperate with MyRoasUp in a timely and professional manner.

  • Ensure that all materials provided to MyRoasUp do not infringe upon the intellectual property rights or other rights of any third party.

  • Make timely payments for all services rendered as per the agreed-upon terms.

 

4. Payment Terms

 

  • Fees: Fees for services will be detailed in the specific SOW or Proposal provided to you.

  • Invoicing & Payment: Invoices will be issued according to the payment schedule outlined in the SOW. Payments are typically due within [e.g., 7, 15, 30] days of the invoice date.

  • Late Payments: MyRoasUp reserves the right to charge interest on overdue amounts at a rate of [e.g., 1.5% per month or the maximum permitted by law] or to suspend services until payment is received.

  • Refunds: Unless explicitly stated otherwise in a specific SOW, fees for services rendered are generally non-refundable. Any refund policy will be clearly defined within your individual service agreement.

 

5. Intellectual Property

 

  • MyRoasUp's Intellectual Property: All content on the Site, including text, graphics, logos, images, software, and the compilation thereof, is the property of MyRoasUp or its licensors and protected by intellectual property laws. You may not use, reproduce, or distribute any content from the Site without our express written permission.

  • Client Data & Materials: Any data, materials, or intellectual property provided by you to MyRoasUp for the purpose of rendering services will remain your property. You grant MyRoasUp a non-exclusive, royalty-free license to use such materials solely for the purpose of providing the agreed-upon services.

  • Work Product: Unless otherwise specified in a SOW, any new intellectual property, creative assets, strategies, or deliverables developed by MyRoasUp specifically for you under a paid service agreement will become your property upon full payment for such services. MyRoasUp retains the right to use such work for portfolio and marketing purposes, strictly maintaining client confidentiality.

 

6. Confidentiality

 

Both MyRoasUp and the client agree to keep confidential all non-public information, including business, technical, and financial information, received from the other party during the course of providing or receiving services. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

 

7. Disclaimer of Warranties

 

The Site and our services are provided on an "AS IS" and "AS AVAILABLE" basis. MyRoasUp makes no representations or warranties of any kind, express or implied, as to the operation of the Site or the information, content, or materials included on the Site. You expressly agree that your use of the Site and our services is at your sole risk.

MyRoasUp does not warrant that:

  • The services will meet your specific requirements.

  • The services will be uninterrupted, timely, secure, or error-free.

  • The results that may be obtained from the use of the services will be accurate or reliable.

  • The quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations.

 

8. Limitation of Liability

 

To the fullest extent permitted by applicable law, MyRoasUp, its founder (Supantha), employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Site or services.

  • Any conduct or content of any third party on the Site.

  • Any content obtained from the Site or services.

  • Unauthorized access, use, or alteration of your transmissions or content.

MyRoasUp's total liability for any claim arising out of or relating to these Terms or the services provided, regardless of the form of action, will not exceed the amount paid by you to MyRoasUp for the specific services giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability.

 

9. Indemnification

 

You agree to defend, indemnify, and hold harmless MyRoasUp, its founder, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • Your use of and access to the Site and services.

  • A breach of these Terms.

  • Your violation of any rights of a third party, including without limitation any intellectual property or privacy right.

 

10. Governing Law & Jurisdiction

 

These Terms shall be governed and construed in accordance with the laws of India, specifically the laws applicable in the State of West Bengal, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Moktar Para, Saraj Ranjan Sarani, City - Balurghat, State - West Bengal, Pin - 733101, Country -India.

11. Termination

 

We may terminate or suspend your access to our Site and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Site and services will immediately cease.

 

12. Changes to Terms

 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site and services after those revisions become effective, you agree to be bound by the revised terms.

14. Severability

These Terms, along with any Service Agreement or SOW, constitute the entire agreement between you and MyRoasUp regarding our Site and services, and supersede and replace any prior agreements, oral or otherwise, regarding the Site and services.
